Azla’s Transaction Process
We have developed a transaction process that is focused on attaining optimal
pricing from the most appropriate buyers. By leveraging our rigorous due diligence
and in-depth understanding of the global base of active specialist and non-traditional
secondary buyers, we are positioned to achieve optimal results for our clients.
During a Transaction Execution Engagement, we:
- Via detailed due diligence, discover and demonstrate “hidden value” in the underlying assets being divested
- Develop a detailed valuation model to set pricing expectations
- Manage, with the assistance of the client, the preparation of marketing documents for the transaction to provide potential investors with complete information in an easy-to-read, yet secure, manner
- Maintain the highest level of confidentiality in contacting potential buyers
- Maintain constant communication with the client on all aspects of the engagement
- Structure the liquidity option that best meets the client’s needs
- Contact appropriate secondary and strategic buyers which can take the form of either:
- Direct negotiation with targeted potential purchasers
- Managing limited or broad-based auctions of portions of the LP Interest Portfolio or Direct Secondary portfolio companies
- Manage and protect general partner and portfolio company relationships
- Maintain a constantly updated database of qualified potential acquirers
- Coordinate and orchestrate the due diligence process
- Negotiate and execute the transaction or if the client prefers, support the Client’s negotiation and execution efforts
- Assist the client in obtaining approval for the transaction to its oversight committee, when required
- Assist in coordinating the legal aspects of the transaction
